Terms of Service

1. Parties

These Terms of Service ("Terms") are a contract between:

  • Spenflo, operated by a UK sole trader ("Spenflo", "we", "us") — registered trading details available on request at info@spenflo.com
  • The business entity that creates an account ("Customer", "you")

By creating an account or using Spenflo, you agree to these Terms on behalf of the Customer you represent. If you don't have authority to bind that Customer, don't proceed.

2. The Service

Spenflo is a cloud cost management and FinOps tool: it connects to your AWS, GCP, and/or Azure billing data (read-only), shows you spend allocated by service/team/project/account, and (on the Pro plan) surfaces optimisation recommendations and anomaly detection.

Spenflo provides cloud infrastructure cost optimisation recommendations for informational purposes only. These are not financial, investment, tax, or legal advice. You are responsible for evaluating and implementing any recommendation; consult a qualified professional before making financial decisions based on Spenflo's output.

3. Plans, Fees & Billing

  • Trial plan: free, one connected cloud provider, spend visibility only. No card required.
  • Pro plan: £99/month, billed monthly in advance. Unlimited cloud connections, optimisation recommendations, anomaly detection, budget & Slack/Teams alerts, and action tracking.

Payment is processed by Stripe. We never see or store your card details.

Auto-renewal: Pro subscriptions renew automatically each billing period until cancelled. You can cancel at any time via the Stripe Customer Portal, linked from your account; cancellation takes effect at the end of the current billing period.

No statutory cooling-off period applies — this is a B2B contract between businesses, not a consumer contract.

VAT: Spenflo is not currently VAT-registered. No VAT is added to the price shown.

Failed payments: Stripe will retry a failed payment automatically. We will not suspend your account immediately on a first failed payment.

4. Acceptable Use

You must not, and must not permit anyone else to:

  • use the Service for any unlawful purpose;
  • attempt to gain unauthorised access to any part of the Service, another customer's data, or our infrastructure;
  • reverse-engineer, decompile, or attempt to extract source code from the Service, except where applicable law prevents this restriction;
  • resell, sublicense, or provide the Service to third parties as your own offering, without our prior written consent;
  • interfere with or disrupt the Service, or attempt to circumvent any usage limit tied to your plan;
  • upload or connect data you do not have the right to share with us.

We may suspend access for a breach of this section, with notice where reasonably practicable.

5. Your Cloud Credentials & Data

You grant Spenflo read-only access to your cloud billing data via credentials you provide. You are responsible for the scope of access you grant — we recommend the narrowest read-only role sufficient for cost/billing visibility.

You are responsible for the security of your own account credentials. We are not liable for unauthorised access resulting from your failure to keep your credentials confidential.

You retain all ownership of your cloud account data, cost data, and any metadata connected to Spenflo. We do not sell your data or use it for any purpose other than providing the Service to you, as described in our Privacy Policy.

Deletion: disconnecting a cloud provider deletes that provider's cost history and recommendations, not just the credential. Deleting your account deletes everything.

6. Intellectual Property

We own all rights in the Spenflo platform, software, and any aggregated or anonymised analytics we derive from usage across customers. Nothing in these Terms transfers that ownership to you. You retain ownership of your own data, as above.

7. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.

Subject to the above, our total liability to you arising out of or in connection with these Terms, in any 12-month period, is limited to the fees you paid us in that period. We exclude liability for indirect or consequential loss, loss of profit, loss of business, or loss of data, to the maximum extent permitted by law.

We are not liable for losses arising from your implementation of, or reliance on, any recommendation the Service surfaces — see § 2.

8. Indemnification

You agree to indemnify and hold Spenflo harmless from any claim arising from: (a) your breach of these Terms; (b) your misuse of the Service; or (c) data you connect to the Service that you did not have the right to share.

9. Service Availability

We aim for high availability but do not currently offer a formal Service Level Agreement or uptime credit scheme. The Service is provided "as is" and may be temporarily unavailable for maintenance or due to factors outside our reasonable control.

10. Sub-processors

We use the following sub-processors to provide the Service. See our Privacy Policy for detail on each. We'll notify you of any material change to this list.

  • Vercel (hosting)
  • Neon (database)
  • Stripe (payments)
  • Resend (transactional email)

11. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use after that point means you accept the updated Terms.

13. Entire Agreement

These Terms (together with the Privacy Policy and any order/plan details shown at signup) are the entire agreement between us regarding the Service, and supersede any prior discussions. Variations must be agreed in writing.
